Directorate Change

 

As announced by Riverstone Energy Limited ("REL" and the "Company") on 26 February 2016, Sir Robert Wilson and James Hackett have notified the Company that they do not intend to offer themselves for re-election to the Company's board of directors at its forthcoming Annual General Meeting ("AGM") on Thursday, 19 May 2016, and, accordingly, will step down from the Board at the conclusion of the AGM.

 

In accordance with Listing Rule 9.6.11, the Company is pleased to announce that Ken Ryan and Jeremy Thompson are being proposed for election to the Board at the AGM as non-executive directors.

 

Ken Ryan has advised that he does not hold any directorships on the board of any publicly quoted companies and there are no details that need to be disclosed in accordance with Listing Rule 9.6.13.

 

In accordance with Listing Rule 9.6.13, Jeremy Thompson has advised that he is a non-executive director of DP Aircraft 1 Limited which is listed on the Specialist Fund Segment of the London Stock Exchange ("LSE") and that he was previously a non-executive director of International Oil and Gas Technology Limited which has now delisted from the LSE. He has advised that there are no further details that need to be disclosed in accordance with Listing Rule 9.6.13.

 

Sir Robert Wilson, Chairman, said: "We are delighted that Ken Ryan and Jeremy Thompson will stand for election to the REL Board, as their wealth of energy and investment sector experience and expertise will help ensure the future success of the Company as REL continues with its investment objective".

 

Biography for Ken Ryan

 

Ken Ryan is a Partner of Riverstone and is responsible for corporate development. He is based in New York. Prior to joining Riverstone in 2011, he worked for Gleacher & Company / Gleacher Partners in both London and New York, most recently as Managing Director and Co-head of Investment Banking. Prior to Gleacher, he worked for Goldman Sachs in the European Financial Institutions Group in London, the U.S. Financial Institutions Group in New York, and the European Advisory Group.  He serves on the investment committee of Riverstone Credit Partners and on the Board of Directors of TrailStone. He received a law degree from University of Dublin, Trinity College.

 

Biography for Jeremy Thompson

 

Jeremy Thompson has sector experience in Finance, Telecoms, Engineering and Oil & Gas.  He acts as a consultant to a number of businesses which include independent non-executive directorships for both listed and PE funds. Between 2005 and 2009 he was a director of multiple businesses within a private equity group.  This entailed board participation on both private, listed and SPV companies and highly successful exits.  Prior to that he was CEO of four autonomous global businesses within Cable & Wireless Plc and had previously held CEO roles within the Dowty Group.   He is a graduate of Brunel (B.Sc) and Cranfield (MBA) Universities and was an invited member to the UK's senior defence course (Royal College of Defence Studies).  He was awarded the IoD's Certificate and Diploma in Company Direction and is an associate of the Chartered Institute of Arbitration. He is currently completing an M.Sc in Corporate Governance (2016).   He is a Guernsey resident.
