Notification of Transactions of Person Closely Associated With Persons Discharging Managerial Responsibilities (PDMRs)

Riverstone Energy Limited (the "Company") has been notified that Riverstone Energy Limited Capital Partners LP ("RELCP"), a person closely associated ("PCA") with each of David Leuschen, Pierre Lapeyre, Jr. and Kenneth Ryan has acquired 46,582 ordinary shares in the Company. The acquisition of shares represents the reinvestment of a portion of the net performance allocation due to RELCP following the realisation of the Company's investments in Three Rivers Natural Resources Holdings III, LLC, Sierra Oil and Gas Holdings L.P. and Rock Oil Holdings, LLC (the "Realisations"). Following this acquisition of shares, RELCP is due a remaining amount equal to approximately £0.22m in respect of its remaining net performance allocation in relation to the Realisations, which amount will be reinvested by RELCP in ordinary shares in the Company in due course. The performance allocation relating to the Realisations was awarded prior to the effective date of the amendments to the performance allocation arrangements announced by the Company on 3 January 2020.
