Liberty Resources II LLC (“Liberty II”) is a Denver-based upstream operator focused on the acquisition and development of oil and gas assets. The company is led by members of the team of Liberty Resources LLC, a successful Riverstone Global Energy and Power Fund IV E&P company operating in the Bakken Shale of North Dakota. Similar to the strategy employed by Liberty Resources in the Bakken Shale, Liberty II applies the management team's expertise in well completion design and execution to a proved and primarily undeveloped resource play. Among other potential areas of focus, Liberty II will likely target the Williston and DJ Basins, where certain play types may be conducive to the Company’s technical completion approach.

In January 2014, Liberty II announced that it has entered into an agreement to acquire oil and gas assets in the Williston Basin for $455 million. The properties to be acquired comprise approximately 53,000 net acres in Williams, Divide, Burke and McKenzie counties and over 4,000 boe/day of production from the Bakken and Three Forks formations, which Liberty II will continue to target as it furthers the development of the acquired properties.

In August 2014, Liberty II announced that it has entered into an agreement with Emerald Oil, Inc. (NYSE MKT: EOX) to exchange a portion of its holdings in North Dakota's Williston Basin for additional acreage in the Williston Basin and approximately $78.4 million in cash.  In addition to the cash received, Liberty will acquire approximately 4,175 net acres in Williams County, North Dakota which will add an estimated 30 operated drilling locations to the Company's current portfolio.  As part of the transaction, Liberty will divest approximately 31,500 non-core acres in McKenzie County, North Dakota with current net production of approximately 400 boe/day.
